These Terms of Service ("Terms") govern your use of the MeridAx Ltd website and services. By accessing our website or engaging with our services, you agree to be bound by these Terms.
MeridAx Ltd ("MeridAx") is a specialist payment intermediary that connects merchants and card issuers to a global network of acquiring banks, issuer processors, and payment infrastructure providers. MeridAx does not itself process payment transactions — it acts as a connector and relationship manager between clients and banking partners.
MeridAx provides merchant acquiring connections, card issuer services, rate negotiation and ongoing relationship management, AI-driven analytics and reporting, and chargeback management and compliance support services. The specific services provided to each client are set out in a separate Service Agreement. These Terms apply in addition to, and subject to, any such agreement.
By using our services, you represent and warrant that you are a business entity or acting on behalf of one, your business operates lawfully and holds all required licences and authorisations, you have the authority to enter into a binding agreement on behalf of your organisation, the information you provide to MeridAx is accurate and complete, and you will not use our services for any unlawful or fraudulent purpose.
Clients are required to provide accurate and complete business information including corporate structure, beneficial ownership, business activities, and processing history; cooperate fully with MeridAx's KYC and due diligence requirements; comply with all applicable laws, regulations, and card scheme rules; notify MeridAx promptly of any material changes to their business; and not misrepresent their business model, descriptor, or product type to any banking partner introduced by MeridAx.
MeridAx's remuneration model includes one or more of the following: a basis point spread earned on transaction volume, a one-time connection or onboarding fee, monthly retainer fees for managed service engagements, and fees for value-added services. All fees are exclusive of applicable taxes unless otherwise stated.
All content, materials, technology, and intellectual property on the MeridAx website and in our service delivery are the property of MeridAx Ltd or its licensors. You may not reproduce, distribute, modify, or create derivative works of any MeridAx intellectual property without prior written consent.
Both parties agree to maintain the confidentiality of information disclosed in connection with the services that is designated as confidential or that a reasonable person would understand to be confidential. This obligation survives the termination of any service relationship.
To the maximum extent permitted by applicable law: MeridAx's total liability for any claim shall not exceed the total fees paid by that client in the three months preceding the claim; MeridAx shall not be liable for any indirect, incidental, or consequential damages; MeridAx does not guarantee the approval of any application by any banking partner; and MeridAx is not responsible for the actions or decisions of any banking partner, card scheme, or payment processor connected through our network.
You agree to indemnify and hold harmless MeridAx Ltd and its officers, directors, and employees from and against any claims, liabilities, damages, and expenses arising out of your use of our services, your breach of these Terms, your violation of any applicable law, or any misrepresentation made by you to MeridAx or to any banking partner.
Either party may terminate a service relationship by providing written notice in accordance with the terms of the relevant Service Agreement. MeridAx reserves the right to terminate services immediately and without notice if a client breaches these Terms or engages in fraudulent or illegal activity.
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which MeridAx Ltd is registered. Any disputes shall be subject to the exclusive jurisdiction of the courts of that jurisdiction, unless otherwise agreed in writing.
We reserve the right to modify these Terms at any time. Continued use of our services following any changes constitutes acceptance of the revised Terms.
